4. User Accounts

6. Technology Services

Where Coeffx provides professional technology services, including consulting, software development, AI implementation, cybersecurity, or digital transformation, the scope of work, deliverables, timelines, pricing, and ownership will be governed by separate project agreements or Statements of Work (SOWs).

In the event of any conflict, the signed project agreement shall prevail.

7. Software Products

Coeffx may provide proprietary software products, cloud platforms, SaaS applications, APIs, and digital services. Your use of these products is subject to these Terms and any product-specific agreements or license terms.

8. Intellectual Property

Unless otherwise agreed in writing:

All software, source code, documentation, trademarks, logos, graphics, user interfaces, designs, content, and technology developed by Coeffx remain the intellectual property of Coeffx Technologies or its licensors.

Nothing in these Terms transfers ownership of intellectual property unless explicitly stated.

9. Client Content

You retain ownership of content you upload or submit. You grant Coeffx a limited license to process, store, transmit, and use such content solely for the purpose of providing the requested services.

You represent that you have all necessary rights to upload such content.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or confidential information shared during the course of business. Confidential information shall not be disclosed except where required by law or with prior written consent.

11. Payments

Where applicable:

  • Fees are payable according to agreed quotations or contracts.
  • Payments are due within the agreed payment terms.
  • Late payments may incur applicable interest or service suspension.
  • Taxes are the responsibility of the customer unless otherwise stated.

12. Third-Party Services

Our products and services may integrate with third-party providers. Coeffx is not responsible for:

  • Third-party platforms
  • External services
  • Third-party software
  • Third-party outages
  • External content

Use of third-party services is governed by their respective terms.

13. Availability

While we strive for high availability, we do not guarantee uninterrupted or error-free operation. Services may be unavailable due to:

  • Maintenance
  • Infrastructure failures
  • Network interruptions
  • Security incidents
  • Force majeure events

14. Data Security

Coeffx implements commercially reasonable technical and organizational measures to protect customer information. However, no online system can guarantee absolute security. Users remain responsible for protecting their own credentials and devices.

15. Limitation of Liability

To the maximum extent permitted by law, Coeffx Technologies shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business
  • Loss of goodwill
  • Data loss
  • Business interruption

Our aggregate liability shall not exceed the amount paid by the customer for the specific service giving rise to the claim, unless otherwise required by applicable law.

16. Warranties

Services and software are provided on an "as is" and "as available" basis unless expressly stated otherwise in a written agreement. Coeffx disclaims all implied warranties to the extent permitted by law.

17. Indemnification

You agree to indemnify and hold harmless Coeffx Technologies, its employees, directors, partners, and affiliates from claims arising from:

  • Your misuse of our services
  • Violation of these Terms
  • Infringement of third-party rights
  • Unlawful activities conducted through your account

18. Suspension and Termination

We reserve the right to suspend or terminate access where:

  • These Terms are violated
  • Fraudulent activity is detected
  • Security risks arise
  • Required by law
  • Non-payment persists

Termination does not affect accrued rights or obligations.

19. Privacy

Our collection and use of personal information are governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

20. Changes to Services

Coeffx may modify, improve, discontinue, or replace products, services, or features at any time. Where practical, reasonable notice will be provided for material changes affecting customers.

21. Force Majeure

Coeffx shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, cyberattacks, government actions, labor disputes, internet outages, or failures of third-party infrastructure.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which Coeffx Technologies is incorporated, unless otherwise required by applicable law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

24. Entire Agreement

These Terms, together with any applicable project agreements, Statements of Work, service agreements, product-specific terms, and Privacy Policy, constitute the entire agreement between the parties regarding the use of Coeffx services.
